Terms of Service

These Terms of Service ("Terms") govern your access to and use of the oriGENapi platform, website, APIs, and related services (collectively, the "Services") provided by oriGENapi, Inc. ("oriGENapi," "we," "our," or "us"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Acceptance of Terms

By creating an account, accessing the platform, or using any of our Services, you represent that you are authorized to bind the organization you represent to these Terms. You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of your organization. These Terms constitute a legally binding agreement between your organization and oriGENapi, Inc.

2. Description of Service

oriGENapi provides a B2B procurement platform that connects med spas, health food and supplement distributors, wellness companies, and other qualified buyers with verified suppliers of bulk peptide Active Pharmaceutical Ingredients (APIs). Our Services include supplier discovery and evaluation, compliance documentation management, order facilitation, Certificate of Analysis (COA) verification, and related tools for pharmaceutical supply chain management.

oriGENapi acts as a platform facilitator and does not manufacture, distribute, or take physical possession of any pharmaceutical products. All transactions are between buyers and the respective suppliers listed on the platform.

3. User Accounts

You must create an account to access the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete registration information, including valid DEA licenses, state pharmacy board licenses, or other regulatory credentials as applicable. You must notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that provide inaccurate information, fail to maintain current regulatory credentials, or violate these Terms.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with all applicable federal, state, and local laws and regulations, including FDA, DEA, and state pharmacy board requirements. You may not use the Services to procure APIs for any purpose not permitted by your regulatory licenses; circumvent any supplier verification or compliance processes; interfere with or disrupt the platform or its infrastructure; scrape, mine, or harvest data from the platform without authorization; share your account credentials with unauthorized parties; or submit false, misleading, or fraudulent information.

5. Intellectual Property

The Services, including all software, content, designs, logos, trademarks, and documentation, are the exclusive property of oriGENapi, Inc. and are protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes in accordance with these Terms. You may not copy, modify, distribute, reverse engineer, or create derivative works of any part of the Services without our prior written consent.

6. Data Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your data in accordance with HIPAA, GDPR, and other applicable data protection regulations. Where our Services involve the processing of Protected Health Information (PHI), we will enter into a Business Associate Agreement (BAA) as required by HIPAA. You are responsible for ensuring that any data you submit to the platform complies with applicable laws.

7. Service Level Agreement

For Professional and Enterprise plan subscribers, oriGENapi commits to a platform uptime of 99.9% measured monthly, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance and will occur during off-peak hours when possible. In the event that we fail to meet the uptime commitment, eligible customers may request service credits as outlined in the applicable plan documentation. Enterprise customers may negotiate custom SLA terms as part of their subscription agreement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, oriGENapi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Services. Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to oriGENapi during the twelve (12) months immediately preceding the event giving rise to the claim.

oriGENapi does not guarantee the quality, safety, or efficacy of any pharmaceutical products sourced through the platform. All procurement decisions and regulatory compliance responsibilities remain with the buyer and the supplier.

9. Indemnification

You agree to indemnify, defend, and hold harmless oriGENapi, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, your violation of any applicable law or regulation, or any dispute between you and a supplier on the platform. This indemnification obligation survives the termination of these Terms and your use of the Services.

10. Termination

Either party may terminate this agreement at any time with 30 days' written notice. We may suspend or terminate your access immediately without notice if you breach these Terms, engage in fraudulent activity, or if required to do so by law or regulatory action. Upon termination, your right to access the Services ceases immediately. We will make your data available for export for 90 days following termination, after which it will be securely deleted in accordance with our data retention policies.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the federal or state courts located in San Diego County, California. Both parties consent to the personal jurisdiction of such courts. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email and by posting the updated Terms on our website. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services and contact us to close your account.
